1.About Clasify.Clasify is an AI-powered online assessment platform that enables educational institutes — including schools and coaching centres — to create tests, manage students, conduct online exams, and analyse performance. The platform is owned and operated by Clasify (referred to as 'we', 'us', or 'our'), headquartered at 5th Floor, DLF Two Horizon Centre, Harizan Colony, DLF Phase-5, Sector-43, Gurugram, Haryana, India.

2.Eligibility.To use Clasify, you must:

• Be a registered educational institute, school, coaching centre, or an authorised representative thereof
• Be at least 18 years of age if registering as an administrator or educator
• Provide accurate and complete information during registration
• Have the authority to enter into this agreement on behalf of your institution

Student access is granted through the institute. Students do not independently enter into this agreement — the institute is responsible for managing and supervising student use of the platform.

3.Account Registration & Responsibilities.When you create an account on Clasify, you agree to:

• Provide truthful, accurate, and up-to-date information
• Keep your login credentials secure and confidential
• Notify us immediately at support@clasify.live if you suspect unauthorised access to your account
• Take full responsibility for all activity that occurs under your account

Clasify is not liable for any loss or damage arising from your failure to maintain account security.

4.Use of the Platform.Clasify grants you a limited, non-exclusive, non-transferable licence to use the platform strictly for your institute's internal educational purposes. You agree not to:

• Share, resell, sublicense, or distribute access to the platform to unauthorised parties
• Copy, reproduce, or reverse-engineer any part of the platform or its underlying technology
• Upload content that is unlawful, defamatory, obscene, or infringes on third-party intellectual propert
• Use the platform to conduct activities unrelated to education or assessment
• Attempt to access areas of the platform you are not authorised to use
• Interfere with the security, integrity, or performance of the platform

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

5.Institute Content & Ownership.Any content you upload to Clasify — including question banks, test series, course material, and student data — remains your property. By uploading content, you grant Clasify a limited licence to store, process, and display that content solely for the purpose of providing our services to you. You are responsible for ensuring that all content you upload:

• Does not violate any copyright, trademark, or intellectual property rights
• Is appropriate for an educational context
• Complies with applicable laws and regulations

Clasify does not claim ownership over your content and will not use it for any purpose beyond delivering our services to your institute.

6.AI-Powered Features.Clasify offers AI-powered tools including automated question generation, OMR evaluation, and doubt solving. By using these features, you acknowledge that:

• AI-generated content is a tool to assist educators — it is not a substitute for professional judgment
• You are responsible for reviewing, editing, and approving all AI-generated questions or content before publishing
• Clasify does not guarantee the accuracy, completeness, or suitability of AI-generated outputs for any specific examination or curriculum
• Your content inputs are processed securely and are not used to train external AI models without your consent

7.Subscription Plans & Payments.Access to Clasify's full features requires a paid subscription. By subscribing to a plan, you agree to:

• Pay all applicable fees as per the plan you select, in advance or as agreed mutually
• Provide valid payment information and authorise us to charge accordingly
• Notify us of any billing disputes within 7 days of the charge

All prices are listed in Indian Rupees (INR) and are exclusive of applicable taxes unless stated otherwise. Clasify reserves the right to revise pricing with 30 days' prior notice to existing subscribers. 8.Free Trial.Clasify may offer a free trial period to new institutes. During the trial:

• Access is granted to selected features of the platform at no charge
• No credit card is required unless explicitly stated
• Clasify reserves the right to modify or discontinue the free trial at any time

At the end of the trial period, continued access requires upgrading to a paid plan. Data created during the trial will be retained for 30 days after expiry, after which it may be deleted.

9.White-Label & Custom Plans.Institutes on Custom or Enterprise plans may access white-label features including platform branding, custom domains, and on-premise hosting options. These are governed by a separate agreement. The use of Clasify's name, logo, or branding in any external communication requires prior written permission.

10.Intellectual Property.All technology, design, software, AI models, branding, and content created by Clasify — including but not limited to the platform interface, question generation algorithms, and analytics dashboards — are the exclusive intellectual property of Clasify and are protected under applicable Indian and international laws. Nothing in these Terms transfers any ownership of Clasify's intellectual property to you. Unauthorised use, reproduction, or distribution of Clasify's intellectual property is strictly prohibited.

11.Third-Party Services.Clasify may integrate with or rely on third-party services for infrastructure, payments, and communication. These services have their own terms and privacy policies. Clasify is not responsible for the practices of third-party providers, and your use of integrated services is governed by their respective terms.

12.Availability & Downtime.Clasify aims to maintain 99.9% platform uptime. However, we do not guarantee uninterrupted access to the platform. Scheduled maintenance, updates, or events beyond our reasonable control (including internet outages, natural disasters, or third-party failures) may result in temporary unavailability. We will make reasonable efforts to notify institutes in advance of planned maintenance windows, particularly during exam periods.

13.Limitation of Liability.To the fullest extent permitted by law, Clasify shall not be liable for:

• Any indirect, incidental, or consequential loss arising from your use of the platform
• Loss of data due to circumstances outside our reasonable control
• Errors in AI-generated content that are published without review by the institute
• Any technical issues arising from the institute's own devices, internet connectivity, or systems

Our total liability to you in any circumstance shall not exceed the amount paid by you to Clasify in the 3 months preceding the event giving rise to the claim.

14.Indemnification.You agree to indemnify and hold harmless Clasify, its founders, employees, and partners from any claims, losses, damages, or legal costs arising out of:

• Your use or misuse of the platform
• Content you upload that infringes on third-party rights
• Your violation of these Terms & Conditions
• Any unauthorised access to your account resulting from your negligence

15.Termination.Either party may terminate the agreement at any time. Clasify may suspend or terminate your access immediately if:

• You breach any provision of these Terms
• Your account is used for fraudulent or illegal activity
• Payment obligations are not met within the specified grace period

Upon termination, your access to the platform will be revoked. Institute data will be retained for 90 days post-termination and then permanently deleted, unless otherwise required by law.

16.Governing Law & Disputes.These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana, India. We encourage you to reach out to us first at support@clasify.live — most issues can be resolved quickly without formal proceedings.

17.Amendments to These Terms.Clasify reserves the right to update these Terms & Conditions at any time. When material changes are made, we will notify institute administrators via email or an in-platform notification at least 14 days before the changes take effect. Continued use of the platform after the effective date of updated Terms constitutes your acceptance of the changes. The latest version of these Terms will always be available at clasify.live/terms-of-service.
